Corporate Social Responsibility (CSR) Policy
1. Preamble
Pursuant to the provisions of Section 135 of the Companies Act, 2013 read with the Companies
(Corporate Social Responsibility Policy) Rules, 2014, as amended from time to time, Bless Green Steel
Private Limited (BGSPL) has formulated this Corporate Social Responsibility (CSR) Policy.
As a manufacturing company, we recognize our responsibility towards sustainable development,
environmental protection, and inclusive growth, and is committed to contributing positively to society
through structured and impactful CSR initiatives.
2. Objective
The objectives of this CSR Policy are to:
Establish a clear framework for CSR activities undertaken by the Company
Identify focus areas aligned with Schedule VII of the Companies Act, 2013
Ensure compliance with statutory CSR obligations
Promote sustainable social, economic, and environmental development
3. Applicability
This Policy shall apply to all CSR projects and programs undertaken by BGSPL in India, in accordance with Schedule VII of the Companies Act, 2013 and the CSR Rules.
4. Focus Areas for CSR Activities
The Company shall undertake CSR activities as specified under Schedule VII of the Companies Act,
2013, with emphasis on the following areas relevant to the manufacturing sector:
Promotion of health care, sanitation, and preventive health care.
Promotion of education, technical training, and vocational skill development, particularly for employability in manufacturing and allied sectors.
Environmental sustainability, including waste management, pollution control, water conservation, and use of renewable energy.
Rural development and infrastructure development in areas surrounding manufacturing units.
Community development initiatives for the welfare of local populations.
Any other activities permitted under Schedule VII of the Companies Act, 2013
CSR activities shall be undertaken as well-defined projects or programs and shall not include activities
undertaken in pursuance of the Company’s normal course of business.
5. CSR Committee
The CSR Committee of the Board shall be constituted in accordance with Section 135 of the Companies
Act, 2013. The CSR Committee shall be responsible for:
Formulating and recommending the CSR Policy to the Board.
Recommending CSR projects and programs and the amount of expenditure to be incurred.
Monitoring the implementation and progress of CSR activities.
Ensuring compliance with the CSR provisions under the Act.
6. CSR Expenditure
The Company shall spend, in every financial year, at least 2% of the average net profits of the
Company made during the three immediately preceding financial years, as prescribed under
the Companies Act, 2013.
CSR expenditure shall be incurred on projects or programs approved by the Board.
Any surplus arising out of CSR activities shall not form part of the business profits of the
Company and shall be dealt with in accordance with the CSR Rules.
In case of any unspent CSR amount, the Company shall comply with the provisions relating to
transfer to the Unspent CSR Account or funds specified in Schedule VII, as applicable.
7. Implementation of CSR Activities
CSR activities may be implemented:
Directly by the Company, or
Through eligible implementing agencies registered with the Ministry of Corporate Affairs, in
accordance with the CSR Rules.
The Company shall ensure proper due diligence, monitoring, and documentation of CSR projects.
8. Disclosure and Reporting
The composition of the CSR Committee, CSR Policy, and approved CSR projects shall be
disclosed on the Company’s website.
CSR details shall be disclosed in the Board’s Report and Annual CSR Report in the prescribed
format.
TThis CSR Policy shall be made available on the Company’s website in compliance with statutory
requirements.
9. Review and Amendment
This Policy shall be reviewed periodically by the Board of Directors on the recommendation of the CSR Committee and amended as necessary to align with changes in legislation or business priorities.
