Vigil Mechanism / Whistle Blower Policy
1. Background
Pursuant to the provisions of Section 177(9) and 177(10) of the Companies Act, 2013, BLESS
GREEN STEEL PRIVATE LIMITED has established a Vigil Mechanism for directors and
employees to report genuine concerns about unethical behaviour, actual or suspected fraud,
or violation of the Company’s code of conduct.
The Company is committed to maintaining the highest standards of integrity, transparency
and accountability.
2. Applicability
This policy applies to:
Directors
Employees
Other stakeholders dealing with the Company
3. Purpose
The purpose of this policy is to provide the adequate safeguard against victimisation of employees and directors and to promote responsibility. It protects employees highlighting serious concerns and irregularities within company.
4. Scope
Concerns that may be reported include:
Fraud or suspected fraud.
Financial irregularities.
Misappropriation of company assets.
Corruption or bribery.
Violation of company policies.
Any other unethical or improper conduct.
5. Oversight of Vigil Mechanism
The Board of Directors shall oversee the Vigil Mechanism. The Board shall ensure adequate safeguards against victimization of whistle blowers.

7. Protection of Whistle Blower
The Company shall ensure that the whistle blower is protected against:
Victimization
Harassment
Unfair treatment
Confidentiality of the whistle blower shall be maintained.
8. False Complaints
If a complaint is found to be false or malicious, the Company may take appropriate disciplinary action.
9. Amendment
The Board of Directors of Bless Green Steel Private Limited reserves the right to amend or modify this policy at any time in accordance with statutory requirements
